Terms of Service

These Terms of Service (“Terms”) govern your use of the Karmaa platform (“Service”), operated by Karmaa (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. Eligibility

The Service is intended for businesses registered in India. To use the Service, you must be at least 18 years of age and have a valid work email address. Personal email addresses (Gmail, Yahoo, Outlook, etc.) cannot be used to create organisations.

2. Account and Organisation

When you sign up, you create an organisation (“Tenant”) that is identified by your company email domain. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your organisation’s account
  • Ensuring that employees added to your organisation have consented to the processing of their data as described in our Privacy Policy
  • Maintaining accurate and up-to-date employee information

The person who creates the organisation is designated as the “Owner” and has full administrative privileges. Owners may designate additional administrators.

3. Your Data

You own your data. All employee records, payroll data, leave records, policy documents, and other information you input into the Service belong to your organisation. We claim no ownership or intellectual property rights over your data.

You grant us a limited, non-exclusive licence to process your data solely for the purpose of operating the Service — including calculating payroll, processing leave requests, generating documents with AI, and answering employee queries through the chatbot.

You may export your data at any time. If you choose to terminate your account, we will provide a reasonable window (minimum 30 days) for you to export your data before deletion.

4. AI Features

The Service includes AI-powered features (chatbot, document generation, resume screening) powered by third-party AI models. Regarding these features:

  • AI-generated content (letters, summaries, responses) should be reviewed by a human before being treated as official documents
  • AI responses are based on the policy documents uploaded by your organisation and may not reflect the complete or latest version of your policies
  • We do not guarantee the accuracy of AI-generated content
  • Your data sent to AI providers is governed by their data processing agreements. We use providers (Anthropic) that do not use API inputs for model training

5. Payroll and Compliance

The Service provides payroll calculation tools including PF, ESI, TDS, and professional tax computations. While we strive for accuracy and test our calculations rigorously:

  • The Service is a tool to assist with payroll processing, not a substitute for professional accounting or legal advice
  • You are responsible for verifying the accuracy of all payroll calculations before processing payments
  • Tax laws and contribution rates may change, and while we update our calculations accordingly, you should verify compliance with current regulations
  • We are not liable for errors in payroll calculations, missed deadlines, or compliance penalties
  • You are responsible for filing statutory returns (PF ECR, ESI contributions, TDS returns) with the appropriate authorities

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious content, viruses, or harmful code
  • Attempt to access another organisation’s data
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to process data of individuals without their knowledge or consent
  • Exceed reasonable usage limits (we will notify you before any restrictions)
  • Resell or sublicence the Service without our written permission

7. Pricing and Payment

Starter plan: Free for organisations with up to 25 employees. Includes core payroll, leave management, people directory, tax declarations, and limited AI chatbot queries (100/month).

Pro plan: ₹49 per employee per month. Includes unlimited AI queries, hiring pipeline, performance reviews, custom document templates, and priority support.

Prices are subject to change with 30 days’ notice. Changes will not affect the current billing cycle. All prices are in Indian Rupees (INR) and exclusive of applicable taxes (GST at 18%).

8. Service Availability

We aim to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our control, including third-party service outages, network failures, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by Indian law:

  • The Service is provided “as is” without warranties of any kind, whether express or implied
  • Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for losses arising from inaccurate payroll calculations, missed compliance deadlines, or data processed by AI features

10. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties.

Upon termination, you will have 30 days to export your data. After that period, we will delete all your organisation’s data from our systems, subject to legal retention requirements.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

12. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via email at least 15 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
